The management board of AB S.A., a company listed on the Warsaw Stock Exchange, has announced a decision to acquire REKMAN Sp. z o.o., of which it is the sole owner. The aim of this change is to improve operational efficiency and optimize internal processes. The planned changes will come into effect no later than October 1 of this year, maintaining the current team structure.

AB S.A. acquired all shares of REKMAN, one of Poland’s largest toy distributors, in November 2013. The acquisition was part of AB S.A.’s long-term strategy of diversifying its operations. The decision to merge the companies was made, and the plan was signed on July 29, 2024.

– The planned merger of AB S.A. with Rekman Sp. z o.o. aims to consolidate operations, optimize processes, and improve operational efficiency. Integrating our resources will allow us to continue growing and better meet the expectations of our customers and business partners – says Zbigniew Mądry, COO – Vice President of the AB Group. – With this change, we will offer our partners a wider range of products and services and an even higher level of service and support for which AB S.A. is known. All this while maintaining the structure and composition of the current Rekman team – adds Zbigniew Mądry.

Rekman Sp. z o.o. was founded in 1992. In 2015, the company opened the Wyspa Szkrabów network – the largest franchise chain of toy stores in Poland, located throughout the country. REKMAN offers the widest range of products from the most important global and Polish toy manufacturers. Among the most popular brands in the offer are: LEGO, MGA, ZURU, Mattel, Spin Master, SIMBA, and REBEL.

In 2012, the company achieved revenues of almost PLN 30 million. Within the AB Group, the company experienced dynamic growth, and the last fiscal year REKMAN closed with revenues exceeding PLN 155 million.

Upon completion of the merger process, AB S.A. will assume all rights and obligations of REKMAN Sp. z o.o., which will be formally approved by an entry in the National Court Register.

Parallel to this merger, AB S.A. has announced a merger with another of its subsidiaries, B2B IT Sp. z o.o. The AB Group will soon publish financial results for the fiscal year ending in June.
